SHIPMENT OR DELIVERY
Shipment or delivery within the time specified on the face of this Contact shall
be subject to the availability of vessel's space.
Date of bill of lading,air way bill,cargo receipt or any other similar
document shall be accepted as conclusive evidence of the date of shipment or
delivery.
If,under the terms of this Contract,Buyer is to secure or arrange vessel's
space,Buyer shall secure or arrange necessary vessel's space on the basis of
berth terms and give Seller shipping instructions in time,including without
limitation,the name and detailed schedule of the vessel.Failure of Buyer to
give such instructions in time is a breach of this Contract and Seller,at its
sole discretion and for Buyer's risk and account,may either (i) arrange
vessel's space and make shipment,(ii) dispose of the Goods specified on the
face of this Contract,or (iii) terminate this Contract or any part thereof,
without prejudice to any other rights and remedies Seller may have.
In case of shipment or delivery in installments,each shipment or delivery shall
be regarded as a separate and independent contract.
The risk of loss of or damage to the Goods shall pass from Seller to Buyer,
regardless of the requirements of stowing,trimming or leveling at the port of
shipment under this Contract,in accordance with the provisions of Incoterms
1990,International Chamber of Commerce (hereinafter "INCOTERMS").
In case Seller secures or arranges vessel's space,all charges and expenses for
discharge of the Goods including demurrage and other damages,which are to be
for the account of the charterer under the relevant charter party,shall be
borne and paid by Buyer.
