Article 10 Intellectual Property Right
Section 1.This Agreement shall not grant the Distributor any intellectual property rights owned or used by the Supplier or any authority on the commercial honor and credit in relation to it.
Section 2.The Distributor shall immediately notify the Supplier of all potential,threatening,accusing or actual violation of intellectual property rights of the Supplier and shall provide with all cooperation and information to deal with the violation of rights at the request of the Supplier.In case of all lawsuits and other procedures raised by the Supplier related to the violation of intellectual property rights,the Distributor ought to participate in it while the Supplier shall bear the required expenses.
Section 3.The Distributor shall not sell the Products in any name or trademark other than the name or trademark related to the product as used by the Supplier and shall not remove or modify the trademark of the Products.
Section 4.At the completion of this Agreement,the Distributor shall immediately return the general technical data related to the Products received from the Supplier and shall not use the related general technical data any more.
Article 11 Term
This Agreement shall be effective for one (1) year from the execution of the Agreement.Either Party shall notify the other Party of the termination of the Agreement thirty (30) days before the termination of the Agreement and if no notice is given,the Agreement shall automatically be extended for one year.
Article 12 Termination of Agreement
Section 1.In case of following events,either Party may demand for immediate termination of the Agreement.
(a) If one Party becomes a subject for bankruptcy,dissolution,or liquidation,suspends business or is incapable for repayment of debts
(b) If one Party becomes dissolved or bankrupt or
(c) If one Party gets ordered to suspend business or the permit for business is canceled by supervising authorities.
Section 2.In case of following events,one Party shall demand the other Party for correction within fifteen (15) days and if it is not corrected within the fifteen (15) days,this Agreement may be terminated.
(a) If the Agreement object of the other Party vanishes as a result of violation of Agreement by one Party
(b) If one Party is applied for property preservation or provisional disposition.
Article 13 Responsibility for breach of Agreement
If the Distributor fails to pay all prices for goods on the due date of payment,the Distributor shall pay the overdue payment and overdue interest from the due date(including the due date) to the completion of all payment based on 3/10,000 of the delayed payment per day provided that the day to complete the payment shall not be included.

第十条知识产权权利
第1节.本协定不得授予任何知识产权分销商拥有或由供应商或商业上的任何荣誉和它有关的信贷授权使用.
第2节.分销商应立即通知所有潜在的供应商,恐吓,指责或供应商的实际侵犯知识产权,并应与所有的合作和信息提供处理的权利在供应商要求的侵犯.在所有的诉讼和涉及侵犯知识产权的供应商提出的其他程序的情况下,分销商应该在它的供应商参与,而应当承担所需费用.
第3节.分销商不得以任何名义出售或商标的名称或比供应商所使用的与产品有关的其他商标的产品,不得删除或修改产品的商标.
第4节.在本协议完成后,经销商应立即返回相关的产品的一般技术数据得到了供应商,不得使用有关的一般技术数据了.
第11条条款
本协定应有效的一（1）年,由该协定的执行.任何一方应通知该协定30（30）在该协定的终止日终止等党和如果没有发出通知,该协定将自动延长一年.
第十二条终止协定
第1节.在下面的事件的情况下,任何一方可以要求另一方立即终止本协议.
  （1）如果一方成为破产,解散,清算或主题,暂停营业或无力偿还的债务
  （b）如果一党始终成为解散或破产,或
  （三）如果一方得到责令停业或业务许可证由监管当局取消.
第2节.在下面的事件的情况下,一方应要求更正内15另一方（15）天,如果不纠正在15（15）天,这个协议可能被终止.
  （1）如果另一方协定对象消失作为对违反协议的一个结果党
  （二）当事人一方申请财产保全或临时处分.
第十三条对违反协议的责任
如果分销商未能支付货物的付款到期日,所有的价格,经销商应支付逾期付款和到期日（包括到期日的逾期利息）的所有付款完成的3 / 10的基础上,对000个每天延迟付款条件是一天完成付款应不包括在内.
