Capitalised terms used in this Agreement shall have the following meanings for all purposes of this Agreement.
"Acceptable Repairs" shall mean fully documented structural repairs as per the Structural Repair Manual ("SRM") or any other repair procedure justified by the Manufacturer in writing as a minimum and approved by the Aviation Authority and the Compliance Authority.Such repairs shall be flush unless economically not feasible,permanent and cosmetically acceptable,fully documented and transferable to the next operator or owner of the Aircraft.
"Actual FH:FC Ratio" for each respective Maintenance Amount Adjustment Period means the actual Flight Hour:Cycle Ratio with respect to the Airframe,the Engines and each Part mentioned in Section 5.3.1 and/or Exhibit B during that same Maintenance Amount Adjustment Period.
"Actual Utilization" for each respective Maintenance Amount Adjustment Period means the actual number of Flight Hours and Cycles operated by the Airframe,the Engines and each Part mentioned in Section 5.3.1 and/or Exhibit B during that same Maintenance Amount Adjustment Period.
"Administrative User" means the person appointed by the Lessee to carry out the functions of the administrator of a registered user entity under section 5 of the procedures for the international registry as issued by the Supervisory Authority.
"Affiliate" means any other Person directly or indirectly controlling,directly or indirectly controlled by or under direct or indirect common control with the Person specified.
"Agreed Expiry Date" means the date falling one hundred and eight (108) months after the Delivery Date.
"Agreed Value" is the amount shown as the "Agreed Value" in EXHIBIT B
"Agreement" means this Aircraft Operating Lease Agreement together with all Exhibits hereto.
"Airbus" means Airbus S.A.S soci茅t茅 par actions simplifi茅e (legal successor to Airbus S.N.C.,the legal successor to Airbus Industrie G.I.E.) a societ茅 par actions simplifi茅e organised under the Laws of France,having its principal office at Toulouse,France,or its successor in title.
"Aircraft" means the Airframe to be delivered and leased hereunder together with the 2 (two) CFM56-5B4/P Engines initially installed on such Airframe (or any engine substituted for any such Engines pursuant to the terms hereof including a Substitute Engine),whether or not such Engines are from time to time installed on the Airframe or any other airframe,the Parts and the Aircraft Documentation,as further described in EXHIBIT A and the Delivery Acceptance Certificate,collectively.As the context requires,"Aircraft" may also mean the Airframe,any Engine,any Part,the Aircraft Documentation or any part thereof individually.
"Aircraft Documentation" or "Aircraft Documents" means (i) all Manuals and Technical Records; (ii) all log books,Aircraft records,and other documents provided to Lessee at Delivery of the Aircraft or generated by Lessee or by third parties during the Lease Term; (iii) all documents listed in a schedule to the Delivery Acceptance Certificate; and (iv) any other documents required by the Aviation Authority or Lessee's Maintenance Programme to be maintained during the Lease Term (all of which will be maintained in English),and all additions,renewals,revisions and replacements from time to time made to any of the foregoing in accordance with this Agreement.The Aircraft Documentation shall conform to the standard in Schedule 1 of Exhibit A.
"Airframe" means the airframe described in EXHIBIT A together with all Parts relating thereto (except Engines or engines).
"Airframe Warranties Agreement" means the airframe warranties agreement relating to the Aircraft,entered,or to be entered into between Lessor,Lessee,and Manufacturer in form and substance satisfactory to the Lessor,as the same may be amended,modified or supplemented from time to time in accordance with the applicable provisions thereof.
"Airworthiness Directives" or "ADs" means all airworthiness directives (or equivalent) and other mandatory instructions of the Compliance Authority and the Aviation Authority applicable to the Aircraft.
"APU" means the auxiliary power unit installed on the Aircraft on the Delivery Date or any replacement auxiliary power unit installed in accordance with this Agreement.
"Assignment of Insurances" means the assignment of insurances and requisition compensation granted,or to be granted,by Lessee in favour of Lessor in relation to the Aircraft,in form and substance acceptable to Lessor.
"Aviation Authority" means,as of any time of determination,(i) Chinese CAA or any Government Entity which under the Laws of China from time to time has control over civil aviation or the registration,airworthiness or operation of aircraft in China or (ii) if,in accordance with this Agreement,the Aircraft is registered in a country other than China,the relevant governmental airworthiness authority having jurisdiction over the Aircraft or which regulates and/or controls civil aviation under the laws of the country or state in which the Aircraft is then registered or having jurisdiction over the registration,airworthiness and operation of,or other matters relating to the Aircraft.
"Aviation Documents" means any or all of the following which at any time may be obtainable from the Aviation Authority in the State of Registration and/ or the State of Incorporation:(i) a certificate of airworthiness for export; (ii) if applicable,a temporary certificate of airworthiness from the Aviation Authority allowing the Aircraft to be flown after Delivery to the State of Registration; (iii) an application for registration of the Aircraft with the appropriate authority in the State of Registration; (iv) the certificate of registration for the Aircraft issued by the State of Registration; (v) a full certificate of airworthiness for the Aircraft specifying passenger transport category; (vi) an air transport licence,(vii) an air operator's certificate; (viii) such recordation of Lessor's and each Relevant Party's rights,title and interest in and to the Aircraft and the Operative Documents (including under the Mortgage) as may be available in the State of Registration and/or the State of Incorporation; and (ix) all such other authorisations,approvals,consents and certificates in the State of Registration and/or the State of Incorporation as may be required to enable Lessee lawfully to operate the Aircraft (such as noise certificates,radio station licences,flight manual approval sheets,etc).
"Base Annual Utilization" means the expected annual utilization of the Aircraft during the Lease Term expressed in Flight Hours (FH's) and Flight Cycles (FC's) of the Aircraft,as shown in Exhibit B.
"Base FH:FC Ratio" means the expected FH:FC Ratio of the Aircraft during the Lease Term,as shown in Exhibit B.
"Base Maintenance Amount Rates" are the amounts shown as Base Maintenance Amount Rates for each MAA in Exhibit B as adjusted in accordance with paragraphs (i),(ii) and (iii) of Section 5.3.3.1."Basic Rent" has the meaning set forth in Section 0.
"Business Day" means any day other than a Saturday or a Sunday on which business of the nature required by this Agreement is carried out in Amsterdam,the Netherlands,Dublin,Ireland and the state in which the principal place of business of Lessor,Owner,Security Trustee and Lessee is located and,where used in relation to payments,on which commercial banks are open for business in New York,New York,United States of America.
"Cape Town Convention" means the English language version of the Convention on International Interests in Mobile Equipment (the "Convention") and the Protocol to the Convention on International Interests in Mobile Equipment on Matters Specific to Aircraft Equipment (the "Protocol"),both signed in Cape Town,South Africa on November 16,2001,together with any protocols,regulations,rules,orders,agreements,instruments,amendments,supplements,revisions or otherwise that have or will be subsequently made in connection with the Convention and/or the Protocol by the "Supervisory Authority" (as defined in the Protocol),the "International Registry" or "Registrar" (as defined in the Convention) or an appropriate "registry authority" (as defined in the Protocol) or any other international or national body or authority.
