摘要
近年来,上市公司委托理财对我国证券市场产生了很大的影响,受到投资者和管理层的广泛关注.委托理财是金融创新的一种,是市场经济成熟和资本市场发展的表现,在国外较成熟的法律体系下,委托理财业务是十分普遍而规范的.由于我国委托理财法律的不健全、资本市场的不完善,成为困扰资金经营行为正常发展的重要因素.因此,必须加快上市公司委托理财体系的构建,以进一步健全上市公司内部控制规范和约束上市公司的理财行为.由于上市公司影响的广泛性、资料的可获得性,对上市公司的研究对其他类型公司具有借鉴意义,因此本文以上市公司为主要对象,从委托理财的现状、诱因、存在的问题和风险规制等方面进行全面的理论分析,深入探讨了委托理财这一法律现象在诉讼纠纷中的几个关键法律问题,研究了委托理财法律所存在的一些问题以及如何解决这些问题的办法进行肤浅的分析.

Abstract
In recent years, the trust management of listed companies on China's stock market had a great impact, by investors and management attention. Trust management is a financial innovation is a mature market economy and the performance of capital market development in foreign countries more mature legal system, trust management business is very common and standardized. Because the law of trust management is not perfect, imperfect capital markets, business activities become plagued capital an important factor in normal development.
