10. FORCE MAJEURE

Causes of Force Majeure

Neither Licensor nor Licensee shall be liable for damages to the other for failure or delay to perform or fulfill any provisions of this Agreement when such failure or delay is due to fires, strikes, war, civil commotions, labor or employment difficulties, act of God, legal acts of public authorities or delays or default caused by public carriers or for any other acts or causes whatsoever which cannot reasonably be foreseen or provided against and which cannot be overcome by due diligence. In such event the time for performance shall be extended for the period of the continuance of such inability provided however that the party having such cause shall (i) promptly after having knowledge of the commencement thereof notify the other party in writing of the nature of such cause and the expected delay, (ii) continue to keep the other party informed as to conditions and (iii) take all reasonable steps to eliminate such cause of the delay and (iv) shall continue performance hereunder with utmost despatch whenever such reason or cause is removed. In the event any of such cause or causes shall continue for a period of at least ninety (90) days, the other party shall have the right upon election without any liability whatsoever to terminate this Agreement by a written notice to the effect to the effected party thirty (30) days in advance of the effective date of such termination.
11. MISCELLANEOUS PROVISIONS
11.1 Relationship of Parties
Notwithstanding any of the provisions of this Agreement, the relationship between Licensor and Licensee is and during the term of this Agreement that of independent contractors. Licensee is in no way the legal representative or agent of Licensor for any purpose whatsoever and has no right or authority to assume or create in writing or otherwise any obligation of any kind or nature, expressed or implied in the name of or on behalf of Licensor.
11.2 Notice

Except as otherwise provided in this Agreement, all notices required or permitted to be given pursuant or in reference to this Agreement shall be in writing and shall be valid and sufficient if delivered personally or despatched by registered airmail, postage prepaid to the partners addressed as follows :

11.2.1 If to Licensor :
