“溢短装条款”是国际货物买卖合同里最常见的规定数量机动幅度的条款,主要由3部分组成,就是数量机动幅度的范围、溢短装的选择权与溢短装部分的作价办法,数量机动幅度范围通常用百分比表示.在机动幅度范围中是多交货物还是少交货物,该选择权一般是由卖方来决定.单在采用海洋运输情况下,因为交货的数量与载货船舶的舱容有着非常密切的关系,所以溢短装的选择权应由安排货物运输的一方掌握.至于溢短装部分作价办法,如果合同中没作相反的规定,大多按合同价格计算.但也有的合同规定按装船日或卸货日市场价格计算,其目的是防止有权选择溢短装一方,为获取额外利益而有意多交或着少交货物.比如双方对装船十或货到时的市价不能达成协议,则可交由仲裁解决.《UCP600》第三十条信用证金额、数量与单价的增减幅度
a.The words
"about" or "approximately" used in connection with the
amount of the credit or the quantity or the unit price stated in the credit are
to be construed as allowing a tolerance not to exceed 10% more or 10% less than
the amount,the quantity or the unit price to which they refer.
a.“约”或“大约”用语信用证金额或信用证规定的数量或单价时,应解释为答应有关金额或数量或单价有不超过10%的增减幅度.
b.A tolerance not
to exceed 5% more or 5% less than the quantity of the goods is allowed,provided
the credit does not state the quantity in terms of a stipulated number of
packing units or individual items and the total amount of the drawings does not
exceed the amount of the credit.
b.在信用证未以包装单位件数或货物自身件数的方式规定货物数量时,货物数量答应有5%的增减幅度,只要总支取金额不超过信用证金额.
c.Even when
partial shipments are not allowed,a tolerance not to exceed 5% less than the
amount of the credit is allowed,provided that the quantity of the goods,if
stated in the credit,is shipped in full and a unit price,if stated in the
credit,is not reduced or that sub-article 30 (b) is not applicable.This
tolerance does not apply when the credit stipulates a specific tolerance or
uses the expressions referred to in sub-article 30 (a).
