8.1 Duty of Secrecy and Confidentiality
All information,data and know-how supplied to and acquired by Licensee hereunder shall be supplied and acquired in confidence solely for the use of Licensee under this Agreement and Licensee shall keep confidential and shall not disclose the same to any other party at any time during this Agreement and five (5) years after its expiration or termination except where necessary to it’s employees or its subcontractors for the purpose solely related to the manufacture,assembly,distribution and sale of the Products and the Parts and Licensee shall take such steps as may be reasonably required to cause its employees or subcontractors to safeguard the confidentiality of such information,data,know-how unless disclosure in confidence to a governmental agency is required by applicable laws or governmental regulation or order.
8.2 Limitation of Obligations
The obligations of Licensee pursuant to this Clause 8 shall not apply to any information obtained from Licensor which is or becomes published or otherwise generally available to the public other than in consequence of the willful or negligent act or omission of Licensee or any of its employees or which is at the time of disclosure in the possession of Licensee
9 ARBITRATION
Rules and Site of Arbitration
Any claims ,disputes,controversy or differences arising between the parties in relation in this Agreement which cannot be satisfactorily settled by correspondence or mutual conference between the parties hereto shall be determined by arbitration at the Beijing Regional Centre of Arbitration or Kuala Lumpur Regional Centre for Arbitration upon written request of either party in accordance with the then prevailing UNCITRAL Arbitration Rules.The arbitration proceedings shall be conducted in English language.The decision of such arbitrator or arbitrators as the case may be,shall be final and binding upon the parties hereto and judgment thereon may be entered in any court having jurisdiction thereof or application may be made to such court for judicial acceptance of the award and/or order of enforcement as the case may be.The cost of arbitration shall be shared equally between the parties hereto
