All information about Seller that Seller or its Representatives (as defined below) furnish to Buyer in connection with the Proposed Transaction is referred to in this Agreement as “Evaluation Information”.Without limitation,Evaluation Information includes all data,reports,analyses,compilations,studies,projections,forecasts,records and all other financial,technical,commercial or other information concerning the business and affairs of Seller furnished by Seller or its Representatives and all analyses,compilations,studies or other material prepared by Buyer or its Representatives containing or based on any information that Seller or its Representatives furnish.Evaluation Information does not include,however,information that (a) is or becomes generally available to the public other than as a result of a disclosure by Buyer or its Representatives,(b) was available to Buyer on a nonconfidential basis prior to its disclosure by Seller or its Representatives,(c) becomes available to Buyer on a nonconfidential basis from a person,other than Seller or its Representatives,who is not known by Buyer to be otherwise bound by a confidentiality agreement with Seller or to be otherwise under an obligation to Seller not to transmit the information to Buyer,or (d) was independently developed by Buyer without reference to the Evaluation Information.As used in this Agreement,the term “Representative” means,as to any person,such person’s affiliates and its and their directors,officers,employees,agents,advisors (including,without limitation,financial advisors,counsel and accountants),controlling persons,lenders and investors.As used in this Agreement,the term “person” shall be broadly interpreted to include,without limitation,any corporation,company,partnership,other entity or individual.
