With the separation of ownership and management of enterprises,the interest of principals and agents seems to be inconsistent,how to motivate and control senior management behavior has become a core issue of keeping businesses effective and efficent.Bases on a review of the general knowledge of stock incentive theory,the article explores the factors influencing the game efficiency under ownership incentives to senior management(commonly known as ‘golden handcuffs’) and further discusses the function of stock ownership incetive plan.
