6.Conditions.All orders or contracts are accepted with the understanding that they are subject to Seller’s ability to obtain the necessary raw materials,and all orders or contracts,as well as shipments applicable thereto,are subject to Seller’s current manufacturing schedules,government regulations,orders,directives,and restrictions that may be in effect from time-to-time.
8.Weights and Quality.The weights,grading and analysis fixed by Purchaser’s scale tickets in a form satisfactory to Seller shall govern this transaction,unless such are proven incorrect or otherwise stated in this Sales Agreement or otherwise consented to in writing.All material delivered to Purchaser shall be subject to variation and composition,products and quality consistent with usage of the trade,and standard testing and inspection methods.Weight shortages of over 2,000 lbs on cars or trucks or over 2% whichever is less,and over 20 gross tons barge or 1.5%,whichever is less,are to be reported to Seller prior to unloading,and all claims for such shortages shall be deemed waived if not reported prior to unloading.
9.The foregoing shall constitute Purchaser’s exclusive remedy in the event of non-conforming products,and under no circumstances shall Seller be liable for consequential or other damages,losses,or expenses in connection with or by reason of the use and/or inability to use the products purchased for any purpose,including but not limited to the use,resale,and/or commingling of the products by Purchaser.Acceptance of the products by Purchaser without notification to Seller of any Non-conformity of the product with the specifications set forth herein,following Purchaser’s inspection period,shall be deemed a waiver by Purchaser of any and all claims against Seller for purported non-conformity of the products; including but not limited to all claims regarding the quality,grade,composition,weight,or contents of the products.
