11.3 Entire Agreement
The term and conditions herein contained constitute the entire agreement between the parties and shall supersede all previous communications,negotiations,agreements,arrangements and promises either oral or written between the parties hereto with respect to the subject matter hereof and no agreement or understanding varying or extending the same shall be binding upon any party hereto,unless in writing signed by a duly authorised officer or representative of each of the parties hereto.
11.4 Approval Expenses
All expenses incurred by each of the parties hereto in connection with this Agreement or in securing of the necessary governmental approvals,if any,shall be borne by the party incurring such expenses
11.5 Counterpart Originals
This Agreement and any other instrument or document to be executed in connection herewith may be executed simultaneously in two (2) or more counterpart originals and each such counterpart original shall be deemed an original but shall nevertheless together constitute but one and the same instrument
12.INTERPRETATION
12.1 Applicable Law
The validity,construction and performance of this Agreement shall be governed by and interpreted in accordance with the laws of the People’s Republic of China
12.2 Governing Language
This Agreement is in the English language only which language shall be controlling in all respects.No translation of any of this Agreement into any other language shall be of any force or effect in the interpretation of this Agreement or in the determination of the intent of either of the parties hereto
12.3 Effect of Headings
Except with respect to the headings in Clause 1 hereof,the headings to Clauses of this Agreement are to facilitate reference only and do not form part of this Agreement and shall not in any way effect or be considered in the interpretation hereof.
12.4 Modification,etc.of Agreement
No amendment or change hereof or addition hereto shall be effective or binding on either of the parties hereto unless set forth in writing and executed by the respective duly authorised representatives of each of the parties hereto
12.5 Waiver
The failure with or without intent of any party hereto to insist upon the performance by the other of any terms or provisions or this Agreement in strict conformity with the literal requirements hereof shall not be treated or deemed to constitute a modification of any terms or provisions hereof,nor shall such failure or election be deemed to constitute a waiver of the right of such party at any time whatsoever thereafter to insist upon the performance by the other strictly in accordance with any terms or provisions hereof
